These Terms and Conditions ("Terms") govern your access to and use of the RTVCP website, products, appliances, software, artificial intelligence features, support services, and related services (collectively, the "Services").

By accessing RTVCP.com, purchasing, leasing, financing, installing, configuring, accessing, or using any RTVCP product or Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a business, organization, government entity, or other legal entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree with these Terms, you must not use the Services.

1. About RTVCP

RTVCP provides artificial intelligence-powered video surveillance technology designed to analyze video feeds locally and generate event descriptions, classifications, notifications, alerts, and other security-related information.

RTVCP products may include hardware appliances, installed software, artificial intelligence models, web-based interfaces, networking functionality, integrations, updates, support, and related services.

2. Local Video Processing

RTVCP is designed primarily around a local-processing architecture.

In standard deployments, video streams connected to an RTVCP appliance are analyzed locally at the customer's facility and do not need to be transmitted to RTVCP-operated cloud infrastructure for routine artificial intelligence analysis.

Depending on configuration, integrations, support requirements, or optional services selected by the customer, certain information may be transmitted outside the local appliance.

Customers are responsible for reviewing and approving the configuration of their RTVCP environment and any third-party integrations they choose to enable.

3. Artificial Intelligence and Computer Vision

RTVCP uses artificial intelligence, machine learning, computer vision, and related technologies to interpret activity visible within camera feeds.

Artificial intelligence systems are probabilistic. RTVCP does not guarantee that any AI-generated description, classification, detection, notification, or alert will be accurate, complete, timely, or free from error.

The system may:

  • Fail to detect an event, object, person, vehicle, or activity;
  • Incorrectly identify or describe an event;
  • Generate a false positive or false negative;
  • Misinterpret environmental conditions or visual artifacts;
  • Generate incomplete or inaccurate descriptions;
  • Fail to generate an expected alert;
  • Generate an alert where no actual security threat exists.

RTVCP is intended to assist human operators and improve situational awareness. It is not intended to replace trained security personnel, emergency services, law enforcement, physical security controls, or appropriate human judgment.

4. No Guarantee of Crime Prevention or Safety

RTVCP does not guarantee that use of the Services will prevent crime, theft, vandalism, trespassing, injury, property damage, unauthorized access, or any other harmful event.

RTVCP does not guarantee that a particular event will be detected, classified, recorded, reported, or communicated before, during, or after it occurs.

Customers remain responsible for determining the appropriate physical security, monitoring, staffing, emergency response, and risk-management measures for their facilities.

5. Customer Responsibilities

Customers are responsible for the lawful installation, configuration, operation, monitoring, and use of RTVCP and all cameras or systems connected to it.

Customer responsibilities include, where applicable:

  • Proper placement and configuration of surveillance cameras;
  • Maintaining reliable power and network connectivity;
  • Maintaining compatible camera equipment;
  • Protecting account credentials and administrative access;
  • Maintaining appropriate physical and cybersecurity controls;
  • Reviewing security alerts and AI-generated information;
  • Maintaining backup or redundant security systems where appropriate;
  • Complying with applicable surveillance and privacy laws;
  • Providing required surveillance notices or disclosures;
  • Obtaining any legally required permissions or consents.

6. Surveillance, Privacy, and Recording Laws

Laws governing video surveillance, audio recording, employee monitoring, biometrics, facial recognition, data retention, privacy, and security vary by jurisdiction.

RTVCP does not provide legal advice and does not determine whether a customer's deployment or use of the Services complies with applicable law.

Customers are solely responsible for evaluating and complying with all laws, regulations, rules, contractual obligations, and industry requirements applicable to their deployment.

Customers must not install cameras or use RTVCP in locations or circumstances where surveillance is prohibited by law.

7. Audio Recording

If a customer's cameras or connected systems are capable of recording audio, the customer is solely responsible for determining whether audio recording is lawful in the applicable jurisdiction.

Customers must obtain any required notice, authorization, or consent before recording audio.

8. Biometric and Facial Recognition Technologies

Certain present or future RTVCP features or third-party integrations may involve technologies capable of processing characteristics associated with individuals.

Where biometric identification, facial recognition, facial comparison, or similar technologies are enabled, the customer is responsible for determining whether use of those features is permitted and for satisfying any notice, consent, retention, deletion, and disclosure requirements imposed by applicable law.

9. Hardware Requirements and Compatibility

RTVCP performance depends on factors outside RTVCP's control, including camera quality, resolution, frame rate, compression, lighting, viewing angle, network performance, electrical power, weather conditions, obstructions, and the customer's physical environment.

RTVCP does not guarantee compatibility with every camera, recorder, network device, surveillance system, or third-party product.

Customers are responsible for confirming compatibility before deployment unless otherwise stated in a written agreement with RTVCP.

10. System Performance

The number of cameras, processing frequency, response time, detection performance, and other system characteristics may vary depending on:

  • Hardware configuration;
  • Number of connected cameras;
  • Camera resolution;
  • Video frame rate;
  • Image complexity;
  • Artificial intelligence model configuration;
  • Network performance;
  • Software configuration;
  • Environmental conditions.

Any performance figures, demonstrations, estimates, or examples provided by RTVCP are illustrative unless expressly guaranteed in a separate written agreement.

11. Software License

Subject to payment of all applicable fees and compliance with these Terms, RTVCP grants the customer a limited, non-exclusive, non-transferable, non-sublicensable right to use the RTVCP software solely with authorized RTVCP equipment and for the customer's internal business purposes.

Unless expressly authorized in writing, customers may not:

  • Copy or redistribute RTVCP software;
  • Sell, sublicense, rent, or commercially redistribute the software;
  • Reverse engineer, decompile, or disassemble the software;
  • Attempt to extract proprietary source code or AI models;
  • Remove copyright, trademark, or proprietary notices;
  • Bypass licensing, authentication, or security controls;
  • Use RTVCP intellectual property to build a competing product.

Restrictions on reverse engineering apply only to the extent permitted by applicable law.

12. Ownership and Intellectual Property

RTVCP and its licensors retain all right, title, and interest in the Services, including all software, source code, object code, models, algorithms, interfaces, documentation, designs, workflows, trademarks, logos, and other intellectual property.

Purchasing RTVCP hardware does not transfer ownership of RTVCP software, algorithms, AI models, or other intellectual property.

Customers retain ownership of their own surveillance footage and customer data, subject to any rights necessary for RTVCP to provide specifically requested support or services.

13. Software Updates

RTVCP may periodically provide software, security, artificial intelligence, firmware, compatibility, or feature updates.

Updates may modify existing functionality, add functionality, improve performance, address security concerns, change system requirements, or remove obsolete functionality.

Customers are responsible for maintaining supported versions of RTVCP software when continued updates or technical support require them.

14. Remote Support

RTVCP may provide remote support when requested or authorized by the customer.

Remote access may require temporary or persistent network connectivity, depending on the support arrangement.

RTVCP will not intentionally access customer surveillance information except as reasonably necessary to provide support requested by the customer, investigate a technical problem, perform an authorized service, or comply with applicable law.

15. Purchases and Payment

Pricing, deposits, installation charges, shipping charges, subscriptions, maintenance fees, taxes, and other amounts will be specified in the applicable quote, invoice, order form, financing agreement, leasing agreement, or other written agreement.

Unless otherwise stated in writing, all fees are stated in U.S. dollars.

Customers are responsible for applicable sales, use, excise, or similar taxes, except taxes based on RTVCP's net income.

Failure to pay amounts when due may result in suspension of support, services, licenses, or other functionality where permitted by law and the applicable agreement.

16. Financing and Leasing

RTVCP may offer or facilitate financing or leasing options for qualified customers.

Financing and leasing are subject to approval, applicable credit requirements, separate agreements, payment terms, and other conditions.

Unless otherwise stated in a written offer or agreement, financing or leasing arrangements may require an upfront payment or deposit.

Financing or leasing may be provided directly by RTVCP or by an independent third-party financing provider. Third-party financing providers may impose additional terms and privacy practices.

17. Shipping, Delivery, and Installation

Delivery and installation dates are estimates unless expressly guaranteed in writing.

RTVCP is not responsible for delays caused by carriers, suppliers, shortages, natural disasters, power failures, governmental actions, network outages, labor disruptions, or other circumstances beyond its reasonable control.

Customers must provide reasonable access to the installation location, electrical power, network infrastructure, camera credentials, and other resources reasonably required for installation when installation services are included.

18. Returns and Cancellations

Hardware returns, order cancellations, restocking fees, installation charges, refunds, and related matters are governed by the applicable quotation, order form, invoice, return policy, leasing agreement, financing agreement, or other written agreement.

Customized, configured, installed, or specially ordered equipment may be non-refundable except where otherwise required by law.

19. Acceptable Use

Customers must not use RTVCP:

  • For unlawful surveillance;
  • To violate the privacy rights of another person;
  • To stalk, harass, threaten, or unlawfully discriminate against individuals;
  • To conduct surveillance in prohibited locations;
  • To violate applicable biometric or recording laws;
  • To gain unauthorized access to systems or networks;
  • To intentionally interfere with or disrupt RTVCP systems;
  • To distribute malware or malicious code;
  • To bypass security or licensing restrictions;
  • For any purpose prohibited by applicable law.

20. Emergency Services

RTVCP is not a police department, fire department, emergency medical service, emergency dispatch center, or government emergency-response service.

Unless expressly included in a separate written monitoring agreement, RTVCP does not continuously monitor customer facilities and does not guarantee that emergency authorities will be contacted in response to any alert.

In an emergency, customers and users should contact the appropriate emergency services directly.

21. Third-Party Products and Services

RTVCP may connect to or operate with third-party cameras, networks, software, services, storage systems, notification providers, or other products.

RTVCP is not responsible for the availability, performance, security, privacy, functionality, acts, omissions, or failures of third-party products or services.

Use of third-party services may be subject to separate terms and privacy policies.

22. Network and Internet Availability

Certain RTVCP functions may depend on local networks, internet connectivity, notification services, remote access, DNS, cellular services, email providers, SMS providers, or third-party infrastructure.

RTVCP is not liable for interruptions or failures caused by infrastructure outside RTVCP's reasonable control.

23. Customer Data and Backups

Customers are responsible for determining whether backups of surveillance footage, event information, configuration information, logs, or other data are appropriate for their environment.

Unless expressly included in a separate written service agreement, RTVCP does not guarantee backup, archival, recovery, or long-term retention of customer data.

24. Security

RTVCP uses reasonable security measures in the design and operation of its products and services. However, no hardware, software, network, artificial intelligence system, or security technology can be guaranteed to be completely secure.

Customers are responsible for securing their local networks, cameras, routers, firewalls, passwords, administrator accounts, remote access systems, and physical equipment.

25. Warranty Disclaimer

EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY PROVIDED BY RTVCP, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

RTVCP DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ERROR-FREE OPERATION.

RTVCP DOES NOT WARRANT THAT:

  • THE SERVICES WILL OPERATE WITHOUT INTERRUPTION;
  • THE SERVICES WILL DETECT EVERY SECURITY EVENT;
  • ALL AI-GENERATED INFORMATION WILL BE ACCURATE;
  • ALL ALERTS WILL BE DELIVERED;
  • FALSE POSITIVES OR FALSE NEGATIVES WILL NOT OCCUR;
  • THE SERVICES WILL PREVENT CRIME, LOSS, OR INJURY;
  • THE SERVICES WILL BE COMPATIBLE WITH EVERY THIRD-PARTY SYSTEM.

26. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RTVCP AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM:

  • THEFT;
  • PROPERTY DAMAGE;
  • PERSONAL INJURY;
  • LOSS OF LIFE;
  • LOSS OF REVENUE OR PROFITS;
  • LOSS OF DATA;
  • BUSINESS INTERRUPTION;
  • FALSE POSITIVES OR FALSE NEGATIVES;
  • FAILURE TO DETECT AN EVENT;
  • INACCURATE AI-GENERATED INFORMATION;
  • FAILURE OR DELAY OF AN ALERT;
  • THIRD-PARTY SYSTEM FAILURES;
  • NETWORK OR POWER FAILURES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RTVCP'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER TO RTVCP FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply.

27. Indemnification

To the extent permitted by law, the customer agrees to indemnify, defend, and hold harmless RTVCP and its owners, officers, employees, contractors, affiliates, and service providers from claims, liabilities, damages, losses, penalties, expenses, and reasonable attorneys' fees arising from or relating to:

  • The customer's unlawful use of the Services;
  • The customer's surveillance practices;
  • Failure to provide legally required notices or obtain required consent;
  • Violation of privacy, biometric, employment, or recording laws;
  • The customer's violation of these Terms;
  • Unauthorized modification or misuse of RTVCP equipment or software;
  • Claims arising from cameras, systems, or data controlled by the customer.

28. Suspension or Termination

RTVCP may suspend or terminate access to Services where reasonably necessary because of:

  • Material violation of these Terms;
  • Non-payment;
  • Fraudulent activity;
  • Illegal use;
  • Security threats;
  • Attempts to bypass licensing or security controls;
  • Conduct that creates substantial risk to RTVCP or others.

Where commercially reasonable, RTVCP may provide notice and an opportunity to cure the issue before suspension or termination.

29. Privacy

RTVCP's handling of personal information is described in the RTVCP Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

30. Confidentiality

During the course of a business relationship, either party may receive confidential or proprietary information belonging to the other party.

Each party agrees to use reasonable measures to protect confidential information and to use such information only for purposes related to the business relationship, except where disclosure is authorized or legally required.

31. Feedback

If you provide RTVCP with product suggestions, ideas, recommendations, or other feedback, you grant RTVCP the right to use that feedback without restriction or compensation, provided that RTVCP does not acquire ownership of customer confidential information merely because it was included in feedback.

32. Force Majeure

RTVCP will not be liable for delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, hurricanes, floods, fires, war, terrorism, civil disturbances, government actions, labor disputes, shortages, transportation disruptions, power failures, internet outages, telecommunications failures, cyberattacks, supplier failures, or similar events.

33. Governing Law

Unless a separate written agreement states otherwise, these Terms and any dispute arising from or relating to the Services will be governed by the laws applicable in the jurisdiction in which RTVCP's contracting entity is organized, without regard to conflict-of-law principles.

Any mandatory rights available to a customer under applicable law remain unaffected.

34. Dispute Resolution

Before initiating formal legal proceedings, the parties agree to make reasonable good-faith efforts to resolve disputes through direct discussion.

Any additional dispute-resolution requirements contained in a quotation, purchase agreement, leasing agreement, financing agreement, service agreement, or other signed agreement will control in the event of a conflict with this section.

35. Changes to These Terms

RTVCP may update these Terms periodically to reflect changes in products, technology, business practices, or legal requirements.

The "Last Updated" date at the top of this page will identify the most recent revision.

Continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

36. Entire Agreement

These Terms, together with the Privacy Policy and any applicable quotation, order form, invoice, service agreement, financing agreement, leasing agreement, license agreement, or other written agreement, constitute the agreement between the parties concerning the applicable Services.

If a signed written agreement conflicts with these website Terms, the signed written agreement will control with respect to the subject matter of that agreement.

37. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.

38. No Waiver

Failure by RTVCP to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

39. Assignment

Customers may not assign or transfer their rights or obligations under these Terms without RTVCP's prior written consent, except where otherwise permitted by applicable law.

RTVCP may assign these Terms as part of a merger, acquisition, corporate restructuring, financing, sale of assets, or similar transaction.
